Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Agentas at agentasllc.com (the “Service”). The Service is operated by Agentas LLC(“we,” “us”). The Service is offered in collaboration with TerraNova Capital, a structured-finance advisory firm (“TerraNova”). Agentas LLC arranges introductions to debt-capital providers and does not itself lend or provide securities services; nothing on the Service is provided by, or on behalf of, TerraNova except where expressly stated. By accessing or using the Service you agree to these Terms; if you do not agree, do not use the Service. You must be at least 18 years old and, if you use the Service for a business, you represent that you are authorized to act for that business.

The Service is a research and information tool: it helps you identify private credit funds, banks, and other capital providers that may fit a debt raise, and lets you unlock compiled business contact information for those providers.

The Service is not a lender, loan broker, placement agent, investment adviser, or credit repair service. We do not arrange, negotiate, underwrite, or fund loans through the Service; we do not submit applications on your behalf; and no listing, match score, or search result is a recommendation, endorsement, or assurance that any provider will engage with you or extend credit. Securities-related services, if any, are provided separately and solely by TerraNova Capital Equities, Inc. under its own agreements and regulatory obligations, not through this website.

Borrow with caution. Debt financing involves significant risk. Borrowing obligations must be repaid regardless of how your business performs, and may be secured by liens on your assets or personal guarantees. Defaulting can result in loss of collateral, legal action, and damage to your business and personal credit. Interest rates, fees, covenants, and terms vary widely between providers — always read the full loan documentation, compare multiple offers, and consult your own legal, tax, and financial advisors before signing anything. Only borrow what your business can realistically service.

Some features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Provide accurate information and keep it current. We may suspend or terminate accounts that violate these Terms (see Section 11).

Certain features, including contact unlocks and credit packs, are paid. Prices are shown at the point of purchase and charged through our payment processor (Stripe); we do not store your card details. Because contact information is digital content delivered immediately, a contact unlock is final once the contact details have been revealed and is not refundable. Unused credits may be refunded within 30 days of purchase on request to deals@agentasllc.com. Initiating a chargeback for delivered digital content instead of contacting us is grounds for account termination. Taxes, where applicable, are your responsibility.

You may use unlocked contact data only for your own bona fide deal-sourcing and financing outreach. You agree NOT to:

• scrape, crawl, harvest, or bulk-extract data from the Service, or circumvent access controls, rate limits, or paywalls;
• resell, license, publish, or redistribute any data obtained from the Service;
• send unlawful communications using contact data obtained here — you are solely responsible for complying with all applicable laws in your outreach, including CAN-SPAM, the TCPA, and any data-protection laws that apply to you (e.g. GDPR if you contact EU-based individuals);
• use the Service to build a competing database or train models on our data;
• misrepresent your identity or your relationship with us or with any listed institution.

The institutions and professionals listed on the Service are compiled from public and licensed business sources. Listing does not imply any affiliation with, sponsorship by, or endorsement of the Service by any listed institution or individual, and does not imply that any listed provider is currently lending or will respond to outreach. Firm names and trademarks belong to their respective owners. If you represent a listed institution or are a listed individual and want your information corrected or removed, email deals@agentasllc.com and we will process the request promptly (see our Privacy Policy).

Contact information, fund attributes, check sizes, and match scores are compiled from public sources and proprietary research and are not verified by the institutions listed. Information may be incomplete, out of date, or inaccurate, and match scores are algorithmic estimates, not assessments of creditworthiness or likelihood of funding. The Service and all data are provided “as is” and “as available,” without warranties of any kind, express or implied, including accuracy, merchantability, or fitness for a particular purpose. You are responsible for independently verifying all information before relying on it.

Nothing on the Service constitutes investment, legal, tax, accounting, or other professional advice, and nothing on the Service is an offer or solicitation to buy or sell any security or to engage in any transaction. Any decisions you make based on the Service are your sole responsibility. Consult your own advisors.

The Service — including its software, design, compiled database, text, and branding — is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. No other rights are granted.

We may suspend or terminate your access at any time for violation of these Terms, suspected fraud or abuse, or as required by law. Upon termination your license to use data obtained from the Service ends, except for outreach already lawfully in progress. Sections 3, 6–9, and 12–14 survive termination.

You agree to indemnify and hold harmless Agentas LLC, TerraNova Capital, and their respective affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your outreach to any listed contact, your violation of these Terms, or your violation of any law or third-party right.

To the fullest extent permitted by law, Agentas LLC, TerraNova Capital, and their affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or relating to the Service — including any financing decision, lending relationship, or failed raise. To the extent liability cannot be excluded, our total aggregate liability for all claims will not exceed the greater of $100 or the amounts you paid us in the twelve months preceding the event giving rise to the claim.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute arising out of or relating to the Service or these Terms that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules, seated in New York County, New York. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. Either party may instead bring an individual claim in small-claims court. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing deals@agentasllc.com with the subject “Arbitration opt-out.”

We may update these Terms from time to time; the “Last updated” date above will change when we do. Material changes will be reasonably notified (for example, by email or an in-app notice). Continued use after changes take effect constitutes acceptance.
